These Terms of Use (the "Terms") govern your access to and use of the website located at seamcertification.org and any related subdomains, pages, or content (collectively, the "Site") operated by SEAM ("SEAM," "we," "us," or "our"). By accessing, browsing, or otherwise using the Site, you ("you" or "User") agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Site.

3. Permitted Use and Restrictions

Subject to your compliance with these Terms, SEAM grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your personal, non-commercial informational purposes. You agree that you will not, and will not permit any third party to:

The "SEAM" name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of SEAM or its affiliates. You may not use such marks without the prior written permission of SEAM. Nothing in these Terms shall be construed as granting you any license or right to use any Content or trademark displayed on the Site, except as expressly authorized herein.

5. User Submissions

Any information, data, text, or other materials you submit to SEAM through the Site, including through contact forms, inquiry forms, email links, or other communication features (collectively, "Submissions"), shall be treated in accordance with our Privacy Policy. By making a Submission, you represent and warrant that: (i) the Submission is accurate and not misleading; (ii) you have the right to provide the Submission to SEAM; and (iii) the Submission does not violate these Terms or any applicable law.

You grant SEAM a non-exclusive, royalty-free, worldwide, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, modify, and otherwise exploit any non-personal portion of your Submission for the purposes of operating, improving, and promoting the Site and SEAM's programs and services. Personal information contained in Submissions will be handled in accordance with our Privacy Policy. SEAM is under no obligation to maintain any Submission in confidence, to pay compensation for any Submission, or to respond to any Submission.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SEAM AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS (COLLECTIVELY, THE "SEAM PARTIES") DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

THE SEAM PARTIES MAKE NO WARRANTY THAT (A) THE SITE WILL MEET YOUR REQUIREMENTS; (B) THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) THE INFORMATION OBTAINED THROUGH THE SITE WILL BE ACCURATE, COMPLETE, OR RELIABLE; OR (D) ANY DEFECTS OR ERRORS IN THE SITE WILL BE CORRECTED. ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SITE IS ACCESSED AT YOUR OWN DISCRETION AND RISK.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF THE SEAM PARTIES TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100.00). THE LIMITATIONS IN THIS SECTION APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

10. Indemnification

You agree to indemnify, defend, and hold harmless the SEAM Parties from and against any and all claims, demands, actions, liabilities, losses, damages, judgments, settlements, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your access to or use of the Site; (b) your violation of these Terms; (c) your violation of any applicable law or the rights of any third party; or (d) any Submission you make through the Site. SEAM reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with SEAM in asserting any available defenses.

11. Termination

SEAM reserves the right, in its sole discretion and without notice or liability, to suspend or terminate your access to all or any portion of the Site at any time and for any reason, including without limitation for any breach or suspected breach of these Terms. Upon termination, your right to access and use the Site will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including without limitation ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Governing Law and Venue

These Terms and any dispute or claim arising out of or relating to these Terms or your use of the Site shall be governed by and construed in accordance with the laws of the State of Georgia, United States of America, without regard to its conflict of laws principles. You agree that any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Fulton County, Georgia, and you hereby irrevocably submit to the personal jurisdiction of such courts and waive any objection to venue therein.

13. Informal Dispute Resolution

Before filing a claim against SEAM, you agree to attempt to resolve the dispute informally by sending a written notice describing the dispute to SEAM at the contact address set forth below. SEAM will attempt to resolve the dispute by contacting you. If a dispute is not resolved within sixty (60) days after submission of such notice, you or SEAM may bring a formal proceeding subject to the terms of this Agreement.

14. Modifications to These Terms

SEAM reserves the right, in its sole discretion, to modify or replace these Terms at any time. If a revision is material, SEAM will make reasonable efforts to provide notice of such changes by updating the "Last Updated" date at the top of these Terms or by other reasonable means. Your continued use of the Site after the effective date of any such modifications constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Site.

15. Severability

If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to render it enforceable, or, if modification is not possible, severed from these Terms, and the remaining provisions shall continue in full force and effect.

16. No Waiver

No waiver by SEAM of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of SEAM to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

17. Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder, in whole or in part, without SEAM's prior written consent. Any attempted assignment in violation of this section shall be null and void. SEAM may freely assign or transfer these Terms without restriction.

18. Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices published by SEAM on the Site, constitute the entire agreement between you and SEAM concerning the Site and supersede all prior or contemporaneous communications, whether electronic, oral, or written, between you and SEAM with respect to the Site.
